By accessing or using RoxyPM ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms constitute a binding legal agreement between you and Joint Venture Labs LLC.
RoxyPM is a cloud-based construction project management platform offering lead management, estimating, project tracking, scheduling, client portals, subcontractor management, AI-powered features, document generation, payment processing, and related services. The Platform is provided on a subscription basis.
You must be at least 18 years old and have the legal authority to bind the company you represent. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@roxypm.com if you suspect unauthorized access.
You own your data. All business data, client records, project information, documents, photos, and communications you enter into the Platform remain your property. We claim no ownership of your content.
Upon account termination, you may export your data for 30 days. After 30 days, data is permanently deleted. Backup copies may persist up to 90 days.
You agree not to: (a) use the Platform for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Platform or other users' accounts; (c) interfere with or disrupt the Platform's infrastructure; (d) reverse engineer, decompile, or disassemble any part of the Platform; (e) use the Platform to send spam, phishing, or unsolicited commercial messages; (f) upload malicious code, viruses, or harmful content; (g) use the Platform to build a competing product.
The Platform integrates with third-party payment processors (Stripe and Square) and accounting software (Intuit QuickBooks Online). When you enable these integrations, you agree to the respective provider's terms of service. JVL does not process payments directly and is not responsible for payment disputes between you and your clients. A credit card processing fee (default 3.5%) may be applied to client-facing invoices at your discretion.
When you connect QuickBooks Online, you authorize RoxyPM to exchange customer, invoice, vendor, and payment data with your QuickBooks account for synchronization purposes. You may disconnect at any time from Settings. Intuit's terms govern their handling of your data.
Additional optional integrations (Twilio SMS, SMTP email) use your own accounts and credentials. RoxyPM stores your integration credentials securely and uses them exclusively on your behalf.
The Platform provides electronic signature functionality for estimates, contracts, change orders, and other documents. By using e-signature features, you acknowledge that electronic signatures are legally binding under the federal ESIGN Act (15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA) as adopted in your state. Each e-signature captures the signer's typed name, IP address, user agent, and timestamp for verification.
AI-powered features (including but not limited to lead scoring, contract generation, estimate generation, subcontractor agreement generation, scope analysis, cost estimation, task generation, scheduling, email drafting, and document parsing) are provided as tools to assist your business decisions. All AI-generated documents — including estimates, contracts, subcontractor agreements, and any other legal or financial documents — are templates and starting points only. They do not constitute legal advice, financial advice, engineering advice, or professional counsel of any kind.
You are solely responsible for reviewing, editing, and verifying all AI-generated content before use, execution, or distribution. JVL strongly recommends that you consult a licensed attorney in your state before relying on any AI-generated contract, agreement, or legal document. JVL makes no warranty regarding the accuracy, completeness, enforceability, or legal sufficiency of any AI-generated content.
JVL shall not be liable for any losses, damages, claims, or expenses arising from reliance on AI-generated content, including but not limited to unenforceable contract terms, inaccurate cost estimates, scheduling errors, or omitted legal protections. By using AI features, you accept all risk associated with AI-generated content in your business operations.
Your use of the Platform is governed by our Privacy Policy. We do not sell your personal information. We will never display advertisements from outside vendors or paid sponsors within the Platform. All emails sent through the Platform are system communications only — we do not send third-party promotional content.
The Platform, including all software, code, algorithms, interfaces, design, and documentation, is the exclusive property of Joint Venture Labs LLC and is protected by copyright, trade secret, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Platform for your business purposes.
We target 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by factors beyond our control, including internet outages, hosting provider failures, or force majeure events.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JVL'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO JVL IN THE 12 MONTHS PRECEDING THE CLAIM. JVL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
You agree to indemnify and hold harmless JVL, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third party's rights; (d) your business relationships with your clients, subcontractors, or vendors.
These Terms are governed by the laws of the State of Georgia. Any disputes shall be resolved through binding arbitration under the American Arbitration Association's Commercial Arbitration Rules, held in Cobb County, Georgia. Each party bears its own attorney's fees unless the arbitrator awards otherwise. You waive any right to participate in a class action lawsuit or class-wide arbitration.
We may update these Terms periodically. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance. If you disagree with updated Terms, you may cancel your subscription.
We reserve the right to suspend or terminate your account for violation of these Terms, non-payment, or any activity that threatens the security or integrity of the Platform. You may terminate your account at any time through Settings or by contacting support.
These Terms, together with the Privacy Policy and any subscription agreement, constitute the entire agreement between you and JVL regarding the Platform and supersede all prior agreements and understandings.
